Vasil Kisil & Partners acted as a legal advisor to UBG Corporation in the process of selling shares in the largest Ukrainian network of medical clinics Dobrobut.

In early February 2014 Investment Company Concorde Capital and co-owner of the Luksoptyka network Oleg Kalashnikov gained ownership over the 51% of the enterprise. It is expected that the transaction will be completely closed by the end of this year, after which buyers would control more than 80% of the network. As of now, the value and terms of the deal were not disclosed.

VKP lawyers supported all stages of the transaction, including negotiations, drafting security documents, in particular Share Purchase Agreement and Shareholders Agreement, advising on escrow arrangements for both parties to the transaction, and also consulted on all current issues related to the implementation of the deal.

Dobrobut Medical Centres have been on the market of private medical services since 2001. The network brings together eight clinics with a total area of more than 6 thousand square meters in Kyiv and Donetsk. They take care on average of 25 thousand patients a month. In 2012 the net income of the company amounted to 119.11 million hryvna (a 35.8% increase compared to 2011).
