Asters represented Russia Partners, a private equity investment fund having over USD 1 billion of assets under management, on acquisition of Into-Sana Group, a leading private healthcare and insurance service provider in Southern Ukraine.

Russia Partners is a wholly-owned subsidiary of Siguler Guff & Company, LP, a US multi-strategy private equity investment firm serving corporate and public employee benefit plans, endowments, corporations, government agencies, financial institutions, family offices and high net worth individuals. Into-Sana Group offers emergency ambulance, in-patient and out-patient treatment, diagnostics, family medicine, and medical insurance services and includes one in-patient hospital, two out-patient clinics, four stand-alone diagnostic centres, seven emergency-aid service stations and one insurance company.

Asters' advice included structuring the transaction, drafting sale and purchase agreement and its negotiation with sellers. Also, the firm advised Russia Partners on merger control law issues and obtained a merger clearance from the Antimonopoly Committee of Ukraine.

The M&A team working on the project included partner Iryna Pokanay, associates Yevgen Porada and Iryna Scherbynaheaded by managing partner Oleksiy Didkovskiy. The competition team consisted of partner Igor Svechkar and senior associate Tetiana Vovk.
